JOB SUMMARY

The Board Director shall provide strategic leadership, policy direction, and governance oversight to HOMA BAY WATER AND SEWERAGE COMPANY LIMITED (HOMAWASCO) in accordance with applicable laws, regulations, and corporate governance best practices. The Director will be responsible for safeguarding the interests of shareholders and stakeholders, ensuring regulatory compliance, overseeing organizational performance, and promoting sustainable, efficient, and accountable delivery of water and sewerage services.

Applicants must meet the following minimum requirements:

  • Must be a Kenyan Citizen.
  • Hold at least a Bachelor’s degree from a recognized university in Law, Accounting, Human Resource Management, Engineering, ICT, Management Systems, or any other relevant professional field, and be duly registered with the relevant professional body.
  • Possess a minimum of seven (7) years’ relevant professional experience in their core area of specialization.
  • Meet the Leadership and Integrity requirements under Chapter Six of the Constitution of Kenya and satisfy the “fit and proper” criteria as prescribed by WASREB.
  • Have undertaken recognized Corporate Governance training.
  • Demonstrate the ability to represent recognized and registered stakeholder groups within the service area, including industry, commercial sector, residents’ associations, key water catchment areas, and other duly registered bodies.
  • Not a holder of any Political Office.
  • Approve and periodically review a five (5) year Strategic Plan that articulates the Company’s vision, mission, values, and strategies for achieving its contractual and statutory objectives.
  • Understand and uphold the Company’s role as the County Government’s Water Service Provision Agent.
  • Ensure the development and approval of Annual Work Plans aligned to the Strategic Plan and monitor their implementation.
  • Approve the annual procurement plan in accordance with the Public Procurement and Asset Disposal Act, 2015, and receive quarterly implementation reports.
  • Ensure that Management submits quarterly departmental performance reports to the Board and actively participate in Board and Committee meetings.
  • Ensure that the Water Service Provider submits all statutory and regulatory reports to the County Executive Committee Member (CECM) in charge of water affairs and to WASREB in accordance with licensing requirements.
  • Be cognizant of the joint and several liability of directors, including personal liability in cases of fraud, corruption, bribery, and secret profits.
  • Ensure the issuance of an annual performance evaluation report to shareholders and stakeholders.
  • Ensure that annual investment reports from Water Works Development Agencies, the County Government, and other investors undertaking water service projects within the service area are submitted to the Board.
  • Ensure that the Company maintains an updated website providing relevant customer information and publishes annual reports and the most recent audited financial statements.
  • Maintain independence from management functions and avoid any business or operational relationships that may compromise objectivity.
  • Convene and preside over the Annual General Meeting in accordance with statutory requirements.
  • Act at all times in the best interests of the Company and the public as a Water Service Provider.
  • Ensure compliance with all applicable laws and regulations and that relevant compliance certificates are obtained and maintained.
  • Ensure that all Board and Committee proceedings are properly recorded and that minutes are accurately maintained in the Company’s minute books.
