Corporate Legal Affairs

  • Review contracts and risk disclosure documents in line with business requirements; manage contract templates, support contract negotiations, and ensure the effective execution of contracts.
  • Handle company incorporation, amendments, deregistration, and related licensing and permit matters according to business needs.
  • Draft and review powers of attorney, commercial correspondence, transaction documents, and other legal documentation as required.

Intellectual Property Management

  • Manage trademark, patent, and copyright matters, including monitoring, searches, filings, renewals, and record maintenance.
  • Handle administrative proceedings such as oppositions, cancellations, and invalidations, as well as litigation matters, and prepare relevant monitoring reports.
  • Monitor, investigate, and address infringement cases; coordinate with relevant departments on enforcement actions and rights protection.
  • Collect, organize, and maintain evidence related to trademark use and brand recognition.

Dispute Resolution

  • Independently manage disputes and litigation matters, including case assessment, response strategies, legal correspondence, claims, and court proceedings.
  • Identify legal risks arising from disputes, provide feedback for internal risk control and business process improvement, and prepare legal risk analysis and optimization reports.
  • Maintain and update case records and legal documentation in a timely and organized manner.

Legal Advisory and Compliance Support

  • Conduct legal training sessions based on business needs and identified compliance gaps.
  • Provide legal support and advice on day-to-day operational matters, specialized legal opinions, and legal due diligence for major projects and new business initiatives.
  • Monitor regulatory and policy developments, identify potential impacts on the business, and issue timely legal risk alerts and compliance updates.

External Counsel and Resource Management

  • Develop and maintain a database of qualified external legal service providers and professional resources.
  • Manage and evaluate the performance of external legal counsel.
  • Master’s degree in Law or a related discipline.
  • Valid practicing certificate / Advocate’s license.
  • Minimum of 8 years’ relevant legal experience, preferably within the FMCG or manufacturing industry, with experience in both law firms and in-house legal functions. Experience working with courts or government/regulatory authorities will be an added advantage.
  • Strong knowledge of Kenyan commercial laws and regulations, including corporate law, contract law, labor law, consumer protection, and intellectual property law.
  • Familiarity with FMCG regulatory compliance requirements, including product labeling, advertising regulations, product quality standards, and consumer complaint handling.
  • Solid understanding of corporate registration and licensing procedures, including company incorporation, amendments, deregistration, and regulatory licensing processes.
