Our client is a Wildlife Conservancy organization looking to hire a Legal, Compliance, and Company Secretary Officer, who is the guardian of law, compliance, governance, and data protection, ensuring organizational accountability, transparency, and regulatory integrity while supporting the board and management in strategic decision-making.

Duties and Responsibilities:
Legal & Compliance
- Advise the organization on all legal matters and regulatory changes.
- Develop and implement compliance frameworks aligned with statutory requirements.
- Draft, review, negotiate, and manage contracts.
- Oversee litigation, liaise with external counsel, and prepare legal opinions/reports.
- Ensure licensing and regulatory compliance with government bodies.
- Establish and review legal policies and procedures to safeguard organizational integrity.
Policies & Procedures
- Manage and update organizational policies and SOPs.
- Ensure compliance of policies with applicable laws.
- Support HR in disciplinary processes, governance initiatives, and employee training.
- Advise pension trustees and promote good governance practices.
- Steering and training of the gender committee.
Data Protection
- Ensure compliance with the Data Protection Act, including licensing and lawful data processing.
- Conduct impact assessments, maintain registers of data operations, and handle complaints.
- Review and train staff on data privacy policies and ICT security measures.
- Promote a culture of data protection across the organization.
- Liaise with regulators such as the Office of the Data Commissioner and other oversight bodies.
Company Secretarial
- Organize board meetings and AGMs; prepare agendas, minutes, and resolutions.
- File statutory returns and maintain registers of shareholders, directors, and charges.
- Advise directors on governance, ethics, and fiduciary duties.
- Safeguard company records and update changes in shareholding or directorship.
Qualifications
- Bachelor of Laws (LL.B) degree from a recognized institution.
- Postgraduate Diploma in Law from the Kenya School of Law.
- Admission to the Roll of Advocates of the High Court of Kenya.
- Certified Public Secretary of Kenya (CPS-K).
- Membership in good standing with the Law Society of Kenya (LSK).
- A minimum of five (5) years’ relevant professional experience in legal practice, compliance, corporate governance, or a related field.
- Fulfillment of the requirements of Chapter Six of the Constitution of Kenya (Leadership and Integrity).
- Strong understanding of the Companies Act and corporate governance.
- Expertise in Industrial & Commercial Law.
- Knowledge of Wildlife management regulations.
- Familiarity with Employment laws and HR-related legal frameworks.
- Proficiency in Data protection law and compliance requirements.
